Corporate, Banking & Finance
Facts speak for themselves: since the early 80’s and until the present days the firm has been the only Uruguayan firm that has represented any and all foreign investment banks in any and all external indebtedness deals involving the Republic of Uruguay, ranging from the 5 billion dollar successful voluntary exchange that took place in 2003 to any and all issuance of sovereign debt by the Republic; it has also been involved in most of the important mergers and acquisitions transactions; it represents more than half of the financial institutions and many of the multinational companies operating in Uruguay.
Thanks to its clientele, combined with an innovative approach, experience and deep knowledge about the market, Guyer & Regules pioneered in many areas of the law where it was the first (and in some cases the only) to venture: the first syndicated loan, the first and only syndicated lease facility, the first investment fund management structure (even before there was a law that regulated those vehicles), the first public work trust structure (fideicomiso financiero de obra pública), the first and only issuance of preferred shares through ADR structures, the only US privately-placed securities, the first Uruguayan venture capital structure, the first off shore only Uruguayan investment fund, etc. These first steps in each of those fields placed the firm as the first choice in the corresponding areas and one of the most active players in the market; it is not by chance that competitors recently acknowledged that the firm is present in 80% of the deals in Uruguay.
Aside from corporate, M&A and banking & finance where Guyer & Regules’ experience is second to none, telecommunications, oil & gas, project finance, aviation and pharmaceuticals have been areas of the law where the firm has been very active. The firm helped to build and put in place the Uruguayan natural gas pipeline (that comes from Argentina and crosses the River Plate) and assisted in the structuring of the gas regulations. In the oil arena, Guyer & Regules advised the government on oil regulation issues as well as in the alternatives and mechanism for the search of a strategic partner for the state wholly owned oil company. In the area of telecommunications, the firm advised in the installation of the first transoceanic submarine optical fiber constructed by an Uruguayan company (Emergia S.A..), branch of Telefonica in Spain. Guyer & Regules also represents the airport’s concessionaire as well as many international aviation companies operating in Uruguay and has participated in most of the aviation financing deals.
Accounting and Taxes practice
In the last decade the firm witnessed the impressive growth of the accounting and tax practice (from 10 professionals and staff in 1995 to 120 in 2005), which makes Guyer & Regules one of the largest professional firms in the country. Our accounting department has been chosen by many multinational corporations for the outsourcing of all their local and international work, being our professionals trained to use the latest available software tools. We also have one of the strongest teams in international tax planning, with highly personalized services.
Real Estate
Technology applied to our notarial / real estate department -the largest in the country- materially facilitated and shortened the land purchase and granting of security interests process. Again facts speak for themselves. Only in 2005 the firm acted in one fourth of all the land sold in Uruguay in areas exceeding 1,000 hectares.
Litigation
Litigation is a landmark of our practice, house of prominent litigators. Our litigators are specialized in complex litigation generally involving high profile cases. Also in order to meet clients' needs a collection department has been organized which takes care of the collections not only in the judicial stage but also in the prior negotiations with clients.
Labor Law
Guyer & Regules’ labor practice is headed by two prominent labor law professors and is of the most respected in the country recently retained by Uruguayan financial entities to represent all of them in the collective bargaining agreement negotiations with the banking union and the Government.
